These general terms and conditions (the "Terms") apply to all orders customers ("you") place with Grale Solutions AB (org.no 559507-4310) and all related group companies including parent companies and subsidiaries ("Grale", "we", "our" or "us") on https://grale.com

Acceptance of Terms
When you register an Account by ordering Products, you confirm that you have read, understood, and accepted the Terms. If you do not accept the Terms, you cannot create an Account or order Products. The agreement becomes binding when you create an account.

Definitions
"Features" refers to the Website, your Account, your Orders and the Products together.
"Website" refers to our website (https://grale.com), (https://business.grale.com) and all its subdomains.
"Account" refers to the account you register and create via the Website.
"Contact Information" refers to the details specified below.
"Privacy Policy" refers to our Privacy Policy that describes how we process personal data.
"Products" refers to the products that we make available via the Website, together with associated services and information that we provide to you.

Processing of Personal Data
We process your personal data in accordance with our Privacy Policy.

Ordering Products
Products are ordered according to the instructions on the Website.
To place an order via our Website, you must be 18 years or older and have a valid delivery address. You may not purchase the Products or use the Features if you do not have permission from your company or if you are under eighteen (18) years old, unless approved by your guardian. We reserve the right to decline entering into an agreement with you without stating the reasons behind the decision.
When you accept the Terms, you certify that the information you provide about yourself or others is accurate. When completing the purchase, you as a customer also accept payment responsibility for your order.

Prices and Fees
Prices are stated excluding VAT, shipping, external packaging fees, taxes, duties and any other external fees. We reserve the right to adjust prices without prior notice.

You shall pay all applicable fees specified on the Website for the Products you have ordered. The prices for the Products are stated on the Website and explicitly include stated delivery costs, value added tax, or other fees and taxes (where applicable). The price for the Products is that indicated on the order pages when you place your order.
We reserve the right to adjust prices in relation to changes in currency, tax, fees, or similar. We have the right to change the prices of the Products, and therefore the applicable prices will be stated on the Website. For orders placed before the price change, the prices stated in the order confirmation for that specific order apply. By continuing to order Products after the price change takes effect, you are bound by the new prices. We reserve the right for any printing and typing errors.

Payment Details
You can pay for Products by card payment, invoice, or through Klarna (card payment or other available options).
Depending on which provider is used for your payment, the third-party provider's terms apply. You may be asked to identify yourself and a credit check may be requested by the third-party provider. We have no access to payment details or store any such information in cases where a third-party provider is used for payment. For card payments, 3D secure is used to guarantee secure payments.
You agree to pay within the established time for the payment method you choose. We have the right to close your account and/or stop delivery of products until you have paid all fees you have incurred. Payment after the due date may result in late fees and interest according to the payment provider's terms.
You agree that we may charge payments for orders. The prices for these orders will correspond to the prices stated on the website at the time you entered into the agreement with us.

Delivery of Products
That Products are available on the Website at a certain time does not mean that these Products will be available at all times.
Orders are normally processed the next business day and delivered normally 2-5 business days after the processing date, as long as the Products are in stock. During peak season and sales, delivery may take longer.
We have the right to charge you for costs incurred if you do not collect your ordered products in time from the collection point after transport of the products.
We reserve the right that products may run out of stock before the information on our Website can be updated (final sale). If a product is out of stock, we reserve the right not to deliver the product within the specified delivery time or to cancel the order. If you have already ordered the Product that is out of stock, we will offer you a refund.

The shipping incoterm is ExWorks. We may from time to time offer campaigns, which may have more favorable terms than what is stated in these purchase terms, e.g., regarding price, payment, or delivery. These more favorable terms apply to the specific goods or services specified in the campaign, as long as the campaign is active or while stocks last. We reserve the right to end such campaigns at any time.

Custom made and Made-to-Order Products
Products that we do not stock are marked as made-to-order and can only delivered at a later date, if the order quantity meets our MOQ requirement. Any logistic and warehousing costs shall be paid by the customer unless otherwise agreed. Made-to-order products cannot be returned. For Custom design products, the customer is fully responsible for the contents, information, graphics, etc on the product and packaging. We reserve the usual tolerance limits of +/- 10% for quantity, quality, size and colors.

Product Information and Images
We reserve the right that product information on the Website may be incorrect due to printing errors or technical errors. Please note that product images on the website may sometimes differ from reality and are not always an exact reproduction of the actual product. Colors, materials, and appearance may vary due to image quality and screen settings.

We have the right to correct any such potential errors and change or update the information at any time. All image information on the Website should exclusively be seen as illustrations, which are not guaranteed to reproduce the number of goods you receive or the exact appearance, function, or origin of the goods or service.

All product weights, dimensions, capacities, and similar specifications are approximate and may vary within reasonable tolerances due to manufacturing processes and material properties. Such variations are normal and do not constitute defects or provide grounds for complaint, return, or compensation.
We also reserve the right to make minor adjustments to product specifications at any time without prior notice.

Intellectual Property Rights
All copyright and other intellectual property rights to material on our Website (including text, electronic documents, graphics, images and sound, photographs, databases, software, program products, and services) are owned by Grale. This means, for example, that you may not without our permission copy, modify, or transfer such content to your own website or distribute it in any other way.

Our Rights
The Website is owned and administered by Grale Solutions AB. All copyrights, trademarks, trade names, logos, and other intellectual or industrial property rights held or used by us and those included in our Features (including titles, graphics, icons, scripts, source codes, etc.) are our own, or another licensor's, property and may not be recreated, distributed, sold, used, modified, copied, restricted, or used (in whole or in part) without our written consent. No intellectual property rights shall be transferred to you or any third party under these terms or otherwise in connection with your order of the Products or other use of the Features.

Respect for Our Property
You may not, for any purpose, manipulate, attempt to gain unauthorized access to, modify, hack, repair, or otherwise adjust any of our materials, hardware, source codes, or information.

Respect for Our Intellectual Property Rights
Products and other information, including all associated intellectual property rights, provided and made available by us constitute our exclusive property. You may not use our exclusive property for any commercial purpose or for any other purpose without our written consent.

Retention of Title
All goods remain our property until full payment has been made.

Arrival Inspection
When receiving the goods, you should always check that all packages have been delivered and that no goods or packaging are damaged. If goods have been damaged during transport, a complaint must be made directly to our carrier on the waybill.

Complaints and returns of defective products
If you believe the Products are defective, you can make a complaint by notifying us via our Contact Information as soon as possible after the defect is discovered, before return. Note! Made-to-order products cannot be returned.
Notification must be made within 2 days after receipt. For returns, only unopened packages are accepted. A return slip must accompany the goods. We will replace with new goods, other goods, or credit you corresponding to the value of the goods.
When the defective products have been received and the complaint approved, we will send you a new item or reimburse you for what you have paid for the item. Refund will be made as soon as possible, but no later than within 30 days from when we received the Product.
We reserve the right to deny a complaint if it turns out that the Product is not defective. For incorrect deliveries, Grale covers the return shipping.

Returns of non-defective products
Please note that Grale does not accept returns or cancellations for Products that are not defective and where delivery has been made in accordance with the order.

Assignment by Grale
We have the right to transfer or pledge all our rights, including payment claims and obligations under these terms, to third parties without limitation.

Force Majeure
We reserve the right for circumstances beyond our control such as strikes, computer crashes, weather conditions, etc.
We are exempt from consequences for failure to fulfill certain obligations under these purchase terms if the failure is based on exempting circumstances as below, and if the circumstance prevents, complicates, or delays fulfillment.
Exempting circumstances include, among others, actions or omission by authority, new or amended legislation, labor market conflict, blockade, fire, flood, severe weather conditions, sabotage, or accidents of major scope. Force majeure includes government decisions that negatively affect market and products, such as decisions on warning texts, sales bans, etc., or an abnormal market decline.

Terms Changes
We have the right to unilaterally change the Terms. Changes apply from when you have accepted the terms in connection with a new purchase on the Website or otherwise 30 days after we have informed you of the changes or 30 days after we have updated the Website with changed terms. We recommend that you stay updated on the Website regularly to become aware of any changes in the terms.

Assignment by Customer
These terms and the rights and obligations that follow through your order cannot be transferred or assigned to another party by you. However, we are free to transfer our rights and obligations under these terms.

Severability
If any provision in these terms is deemed invalid, or for any reason unenforceable, this shall not affect the validity of the remaining provisions.

Applicable Law
Swedish law shall apply to these Terms and our legal relationship in general.
